About Us
These Terms and Conditions apply to all services provided by Psylutions Ltd (“Psylutions”, “we”, “our”, or “us”).
Psylutions Ltd is a UK-based consultancy providing organisational psychology, HR business partnering, workforce wellbeing, leadership development, counselling-related services, and specialist organisational consultancy.
By engaging our services, you (“the Client”) agree to be bound by these Terms and Conditions unless otherwise agreed in writing.
Scope of Services
The scope of services to be provided will be defined within a written proposal, quotation, statement of work, or engagement letter.
Any changes to the agreed scope may require revised fees, timescales, or contractual arrangements.
Proposals and Acceptance
All proposals and quotations remain valid for 30 days unless stated otherwise.
A contract is formed when:
the Client accepts a written proposal;
the Client issues a purchase order;
or work commences at the Client’s request.
Fees and Payment
Fees are set out in the relevant proposal or agreement.
Unless otherwise agreed:
invoices are payable within 30 days of the invoice date;
all fees are exclusive of VAT where applicable;
reasonable pre-approved expenses may be charged separately.
Late payments may incur interest and recovery costs in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
We reserve the right to suspend services where invoices remain unpaid.
Client Responsibilities
The Client agrees to provide timely access to information, personnel, documentation, and resources reasonably required for the delivery of services.
Psylutions shall not be responsible for delays arising from incomplete, inaccurate, or delayed information supplied by the Client.
Confidentiality
Both parties agree to keep confidential all information disclosed during the course of the engagement unless:
disclosure is required by law;
disclosure is required by a professional regulator;
the information is already in the public domain.
This obligation survives termination of the engagement.
Data Protection
Both parties shall comply with all applicable UK data protection legislation, including the UK GDPR and Data Protection Act 2018.
Where services involve the processing of personal information, each party shall implement appropriate organisational and technical measures to protect that information.
Additional data processing agreements may be implemented where necessary.
Intellectual Property
All intellectual property rights in materials created by Psylutions, including reports, training materials, frameworks, presentations, methodologies, and written content, remain the property of Psylutions unless otherwise agreed in writing.
Clients may use such materials for their own internal business purposes but may not reproduce, distribute, publish, or commercially exploit them without prior written consent.
Professional Advice
Psylutions provides professional advice based on information available at the time and using reasonable skill, care, and professional judgement.
The implementation of recommendations and any decisions arising from our advice remain the responsibility of the Client.
Whilst we aim to support improved organisational outcomes, no guarantee is given regarding specific commercial, operational, employment, or organisational results.
Limitation of Liability
Nothing in these Terms excludes liability for:
death or personal injury caused by negligence;
fraud or fraudulent misrepresentation;
any liability which cannot legally be excluded.
Subject to the above, Psylutions’ total liability arising from any engagement shall not exceed the total fees paid by the Client for the specific engagement giving rise to the claim.
Psylutions shall not be liable for any indirect, consequential, or economic loss, including loss of profit, business opportunity, goodwill, or anticipated savings.
Cancellation and Termination
Either party may terminate an engagement by providing written notice.
Where work has already commenced, the Client shall remain liable for:
work completed up to the date of termination;
any committed costs or expenses reasonably incurred.
Specific cancellation terms for training events, workshops, coaching programmes, or retained services may be stated within individual proposals.
Force Majeure
Neither party shall be liable for delays or failures arising from events beyond their reasonable control, including acts of God, industrial disputes, pandemic events, governmental restrictions, or failures of telecommunications systems.
Governing Law
These Terms and Conditions shall be governed by and interpreted in accordance with the laws of England and Wales.
Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
